INCPT Risk Disclosure

This Risk Disclosure applies to the purchase, holding and future use of INCPT Presale Units and INCPT tokens. It forms part of the INCPT Presale documentation provided by CRYPTO INVEST BANK INCEPTION LLC, A SERIES OF OTOCO DE LLC, a Delaware protected series (the “Company”).
Please review this Risk Disclosure before participating in the INCPT Presale. Participation in the Presale involves substantial risk. You should participate only if you understand and accept these risks.

1Early-Stage Project Risk

INCPT and parts of the Inception ecosystem are under development.

Certain planned products, services and functionality may be modified, delayed or not implemented.

The Company does not guarantee that the Inception ecosystem or any particular INCPT functionality will develop according to current plans.

2Risk of Loss

The purchase of INCPT Presale Units involves a risk of partial or complete economic loss.

The value of INCPT may increase, decrease substantially or become zero.

You should not participate with funds that you cannot afford to lose.

3No Guaranteed Return

The Company does not guarantee:

  • profit;
  • investment return;
  • appreciation in the value of INCPT;
  • yield or interest;
  • any minimum price; or
  • any particular financial result.

Any reference to current or future prices, ecosystem growth, adoption, valuation, market size or other projections should not be interpreted as a guarantee of future performance.

4Liquidity Risk

There is currently no guarantee that an active secondary market for INCPT will exist.

INCPT may initially have limited transferability or liquidity.

The Company does not guarantee:

  • DEX liquidity;
  • CEX listing;
  • any particular trading volume;
  • availability of buyers; or
  • the ability to sell INCPT at a particular time or price.

A Participant may be unable to sell INCPT for an extended period or at all.

5No Repurchase Obligation

The Company is not obligated to purchase or redeem INCPT Presale Units or INCPT from Participants.

Any future purchase, market operation, liquidity program, buyback or similar activity by the Company or another Inception entity would be voluntary unless expressly agreed otherwise in writing.

6TGE Risk

INCPT Presale Units are intended to become convertible or claimable into INCPT tokens at a future Token Generation Event (TGE), subject to applicable terms.

However:

  • no specific TGE date is guaranteed;
  • TGE may be delayed;
  • technical implementation may change;
  • the blockchain network may change;
  • distribution mechanics may change; and
  • legal or regulatory developments may affect TGE.

Participants should therefore not assume that INCPT will become freely transferable on-chain by any particular date.

7Lock-Up and Vesting Risk

INCPT Presale Units and resulting INCPT tokens may be subject to lock-up or vesting restrictions.

During such periods, Participants may be unable to transfer, sell or otherwise dispose of some or all of their INCPT.

Applicable restrictions will be disclosed in connection with the relevant Presale stage or purchase.

8Market Risk

Crypto-asset markets can experience extreme volatility.

INCPT may be affected by factors including:

  • overall crypto-market conditions;
  • demand for the Inception ecosystem;
  • availability of competing products;
  • macroeconomic conditions;
  • market sentiment;
  • liquidity;
  • technology developments; and
  • regulatory developments.

Market prices may differ substantially from prices used during the Presale.

9Technology and Blockchain Risk

Blockchain systems, wallets, smart contracts and related software may contain vulnerabilities or experience failures.

Risks include:

  • software bugs;
  • smart-contract vulnerabilities;
  • blockchain congestion;
  • network outages;
  • exploits;
  • cyberattacks;
  • compromised private keys;
  • malicious third parties;
  • protocol changes;
  • forks; and
  • failures of third-party infrastructure.

Such events could cause delays, loss of access or loss of value.

10Wallet and Private-Key Risk

Participants are responsible for protecting their wallets, credentials, recovery phrases and private keys.

Loss or compromise of wallet credentials may result in permanent loss of crypto assets.

Blockchain transactions may be irreversible.

The Company may be unable to recover assets sent to an incorrect address or lost because of compromised credentials.

11Stablecoin Risk

The Presale currently accepts payment in USDT.

Stablecoins involve separate risks, including:

  • loss of their intended peg;
  • issuer or counterparty risk;
  • blockchain/network risk;
  • liquidity risk; and
  • regulatory restrictions.

The Company does not control USDT or its issuer.

12Regulatory Risk

Laws and regulations applicable to crypto assets are developing and may differ between jurisdictions.

Future regulatory developments may affect:

  • availability of INCPT;
  • transferability;
  • trading;
  • staking;
  • ecosystem functionality;
  • token distribution;
  • access from certain jurisdictions; or
  • the ability of the Company to provide particular services.

The Company may modify or restrict certain functionality where reasonably necessary to comply with applicable law.

13Tax Risk

Purchasing, receiving, holding, transferring or disposing of crypto assets may create tax consequences.

Tax treatment differs between jurisdictions and may change.

Participants are responsible for determining their own tax obligations and should obtain professional advice where appropriate.

14Third-Party Risk

The Inception ecosystem may rely on third-party blockchains, protocols, infrastructure providers, exchanges, payment providers, stablecoins and other services.

Failures, restrictions, insolvency, security incidents or operational changes affecting third parties may negatively affect INCPT or the Inception ecosystem.

15No Equity Rights

INCPT Presale Units and INCPT do not represent shares or ownership interests in the Company or other Inception entities.

Holding them does not by itself provide rights to:

  • Company equity;
  • dividends;
  • Company profits;
  • Company assets; or
  • corporate voting rights.

16Forward-Looking Information

Information about future products, user growth, token functionality, ecosystem development, TGE, listings, adoption or other future events represents current plans or expectations only.

Actual outcomes may differ materially.

Plans may change as the ecosystem develops.

17Independent Decision

Participation in the INCPT Presale is voluntary.

Each Participant is responsible for independently evaluating whether participation is appropriate for them, taking into account their financial circumstances, experience and applicable laws.

Nothing in the Presale materials constitutes personalized financial, investment, legal or tax advice.

18Acceptance of Risk

By participating in the INCPT Presale, the Participant confirms that they:

  1. have reviewed this Risk Disclosure;
  2. understand that INCPT is an early-stage crypto asset;
  3. understand that liquidity and future value are not guaranteed;
  4. understand that some or all economic value may be lost;
  5. understand that future functionality may change; and
  6. voluntarily accept the risks associated with participation.
If you do not understand or accept these risks, you should not participate in the INCPT Presale.
