INCPT Presale Agreement

1INCPT Presale Units

The Participant is purchasing INCPT Presale Units using USDT.

INCPT Presale Units are recorded within the Inception platform and represent the Participant’s contractual right, subject to this Agreement and any applicable lock-up or vesting conditions, to receive INCPT tokens if and when the official INCPT Token Generation Event (“TGE”) occurs.

Unless otherwise specified for a particular Presale stage:

Prior to TGE, INCPT Presale Units are not on-chain INCPT tokens and may not be withdrawable to an external blockchain address.

2Purchase Terms

The applicable:

• price per INCPT Presale Unit;
• amount of USDT paid;
• number of INCPT Presale Units purchased;
• Presale stage;
• transaction date; and
• applicable lock-up or vesting conditions

will be displayed to the Participant at the time of purchase and recorded by the Company.

Payment is made in USDT to the blockchain address or smart contract designated by the Company.

A purchase is considered completed after the relevant blockchain transaction has been confirmed and the corresponding INCPT Presale Units have been credited to the Participant’s account.

Blockchain transaction records and the Company’s Presale records may be used as evidence of the transaction.

3Nature of INCPT

INCPT is intended to become a utility and ecosystem token used within the Inception ecosystem.

Potential functionality may include use in connection with Inception products and services, including wallet services, decentralized exchange functionality, cards and payments, vaults, AI services, staking, node participation, referral programs and other ecosystem features.

Certain functionality is under development and may change, be delayed, or never be implemented.

4No Equity or Corporate Rights

Purchasing INCPT Presale Units or holding INCPT does not provide the Participant with:

• shares or equity in the Company or any Inception entity;
• ownership of the Company;
• voting rights in the Company;
• dividends;
• rights to Company profits;
• rights to Company assets;
• creditor rights against the Company; or
• any other corporate ownership rights.

INCPT Presale Units are separate from shares or other ownership interests in Inception.

5No Guaranteed Value or Repurchase

The Company does not guarantee:

• any future value of INCPT;
• any increase in the price of INCPT;
• any minimum market price;
• the existence of a secondary market;
• liquidity;
• listing on any centralized or decentralized exchange; or
• that any person will be willing to purchase INCPT from the Participant.

The Company has no obligation to repurchase INCPT or INCPT Presale Units from the Participant at any price.

The Company may choose to purchase INCPT in the future, but any such purchase would be voluntary unless separately agreed in writing.

6Token Generation Event

The Company currently intends to conduct a future Token Generation Event and create an official on-chain INCPT token.

At TGE, eligible INCPT Presale Units are intended to become claimable or convertible into INCPT at a 1:1 ratio, subject to applicable lock-up, vesting, technical and legal restrictions.

The timing, blockchain network, technical architecture and mechanics of TGE may change.

No specific TGE date is guaranteed under this Agreement.

7Supply and Tokenomics

The current planned maximum supply of INCPT is:

The final tokenomics, allocations, vesting schedules and technical issuance mechanics may be further developed before TGE.

Unless and until the maximum supply is formally made immutable through the applicable token architecture and final token terms, the planned maximum supply should not be interpreted as an irrevocable technical limitation.

8Lock-Up and Vesting

INCPT Presale Units and the INCPT tokens received in respect of them may be subject to lock-up or vesting conditions.

The conditions applicable to a particular purchase will be disclosed to the Participant before that purchase is completed and recorded as part of the transaction.

Different Presale stages may have different prices, minimum purchase amounts, lock-up periods and vesting schedules.

9Eligibility

By participating in the Presale, the Participant represents and confirms that:

• the Participant is legally permitted to participate;
• the Participant is not a U.S. Person;
• the Participant is not participating from a jurisdiction designated by the Company as a Restricted Jurisdiction;
• the Participant is not a person or entity subject to applicable sanctions or restrictions;
• the Participant is not participating on behalf of a prohibited or sanctioned person;
• the USDT used for the purchase is not derived from unlawful activity; and
• the Participant will provide additional information if reasonably required by the Company for legal, sanctions, fraud-prevention or compliance purposes.

The Company may refuse, suspend or cancel participation where required by law or where it reasonably identifies sanctions, fraud, security or compliance concerns.

10Participant Acknowledgements

The Participant acknowledges that:

• crypto assets involve substantial risk;
• INCPT is an early-stage project;
• parts of the Inception ecosystem remain under development;
• applicable laws and regulations may change;
• blockchain systems and smart contracts involve technical risks;
• INCPT may have limited or no liquidity;
• the Participant may lose some or all of the economic value associated with the purchase; and
• past or referenced valuations, prices or performance do not guarantee future results.

The Participant confirms that the decision to participate is made independently and based on the Participant’s own assessment.

11Changes to the Ecosystem

The Company may develop, modify or discontinue features of the Inception ecosystem where reasonably necessary for technical, commercial, security or regulatory reasons.

Material changes affecting purchased Presale Units or their conversion mechanics will be communicated to affected Participants where reasonably practicable.

12Risk Disclosure

Participation is also subject to the INCPT Risk Disclosure, incorporated into this Agreement by reference.

By accepting this Agreement, the Participant confirms having access to and reviewing the applicable Risk Disclosure before completing the purchase.

13Privacy

Information associated with participation in the Presale will be handled in accordance with the INCPT Privacy Notice.

Blockchain transactions are inherently public and may remain permanently visible on the relevant blockchain.

14Electronic Acceptance

This Agreement may be accepted electronically.

The Participant’s acceptance may be recorded together with information including:

• account identifier;
• wallet address;
• date and time;
• Agreement version;
• transaction information; and
• other technical records reasonably necessary to evidence acceptance.

Electronic acceptance has the same effect as acceptance in writing to the extent permitted by applicable law.

15Entire Agreement

This Agreement, together with the applicable Risk Disclosure, transaction-specific terms displayed at purchase and any expressly incorporated Presale terms, constitutes the agreement between the Company and the Participant concerning that purchase.

If transaction-specific terms conflict with this Agreement, the transaction-specific terms apply solely to the relevant commercial terms of that purchase, unless expressly stated otherwise.

16Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, subject to any mandatory laws that may apply to the Participant.
